1.Introduction and Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of https://mygeeks.us (the “Website”) and the website design, website development, website redesign, website maintenance, website improvement, and custom website functionality services offered by My Geeks LLC (“My Geeks,” “we,” “our,” or “us”).

My Geeks LLC is a Wyoming-registered limited liability company providing website-related services to individuals, professionals, small businesses, and other organizations.

By accessing or using the Website, contacting us about our services, requesting a proposal, purchasing a service, or entering into a project agreement with us, you agree to the Terms that apply to your interaction. If you do not agree to these Terms, you should discontinue use of the Website and refrain from purchasing our services.

If you purchase services on behalf of a company, organization, or other legal entity, you represent that you have authority to act on its behalf and accept the applicable contractual obligations.

These Terms should be read together with our Privacy Policy and any applicable written proposal, invoice, statement of work, project specification, or separate agreement. Where a signed or otherwise mutually accepted project agreement expressly conflicts with these general Terms, the project agreement will control to the extent of the conflict.

2.Business Model and Scope of Services

My Geeks LLC provides digital services focused on the design, development, improvement, and maintenance of websites.

Depending on the package purchased and the written scope agreed upon, services may include:

  • Website design and visual layout development.
  • New website creation and development.
  • Redesign of existing websites.
  • Website content layout and page-structure improvements.
  • Implementation of agreed website features and functionality.
  • Custom website functionality and integrations.
  • Website maintenance and agreed technical improvements.
  • Website revisions and adjustments included in a selected package.
  • Testing and review of agreed deliverables before project completion.
  • Other website-related services expressly included in an accepted proposal or statement of work.

The exact services provided depend on the package selected, the customer's requirements, the agreed deliverables, and any exclusions stated in the relevant proposal or project agreement.

Not every service is included in every package. Hosting, domain registration, premium themes, plugins, software subscriptions, third-party services, content production, ongoing maintenance, and other additional work are included only where expressly stated in the applicable package or written agreement.

We do not represent that every website project will include every possible feature or service. Any functionality, deliverable, integration, or support obligation not expressly included in the agreed scope may require a separate quotation.

3.Website Information and Service Descriptions

We aim to describe our services, package features, prices, and deliverables as accurately as reasonably possible.

The Website may contain general descriptions, package comparisons, examples, and indicative project information. Such information is intended to help prospective customers understand our offerings and is not a guarantee that every listed feature will be appropriate for every project.

Before work begins, customers should review the applicable package details, exclusions, project requirements, payment terms, and delivery expectations.

If a particular requirement is important to your project, it should be confirmed in writing before purchase or commencement of work. A feature mentioned in general marketing material is not automatically part of a customer's project unless it is included in the applicable package or otherwise agreed in writing.

We reserve the right to correct genuine typographical errors, outdated descriptions, or pricing mistakes. If a correction materially affects an order that has already been accepted, we will address the issue with the customer rather than treating a material change as automatically accepted.

4.Project Proposals and Scope of Work

A project may begin with a discussion of the customer's requirements, followed by a proposal, package selection, written scope, or other confirmation of the work to be performed.

Where applicable, the project scope may identify:

  • The website or pages to be designed, developed, or modified.
  • The features and functionality to be implemented.
  • The deliverables to be provided.
  • The customer's responsibilities and required materials.
  • The estimated schedule or delivery milestones.
  • The agreed price and payment structure.
  • Included revisions and review procedures.
  • Items excluded from the project.
  • Any agreed post-delivery support or maintenance.

The scope becomes binding when accepted through the applicable ordering or contracting process.

Customers should carefully review the agreed scope before authorizing work. We are not obligated to provide features, additional pages, integrations, revisions, or services that fall outside the agreed scope unless both parties approve the additional work.

If the customer requests a change that materially affects the original scope, we may provide a revised estimate, additional charge, or adjusted timeline. We will communicate material changes for approval before proceeding with the additional work.

5.Orders and Acceptance

Submitting an inquiry, requesting a quote, or communicating an interest in a service does not by itself guarantee that My Geeks LLC has accepted an order.

An order may be accepted through a written confirmation, an accepted proposal, an agreed invoice or payment arrangement, or another documented process used for the relevant service.

Before accepting an order, we may request clarification about the project requirements, the intended use of the website, the requested functionality, the customer's authority to commission the work, or other information reasonably necessary to determine whether we can undertake the project.

We may decline a proposed project where the requested work falls outside our service capabilities, would require unlawful conduct, infringes third-party rights, presents unreasonable security risks, or otherwise cannot reasonably be undertaken under our business policies or applicable law.

If we cannot proceed with an order for which payment has already been collected, any refund or other resolution will be handled in accordance with the applicable refund terms, the accepted agreement, and applicable law.

6.Pricing and Currency

Prices displayed on the Website are stated in United States dollars (USD), unless a particular listing expressly specifies otherwise.

The price applicable to a project will be the price confirmed through the accepted package, proposal, quotation, invoice, or written agreement.

The total amount payable may depend on the selected service, requested deliverables, approved additional work, applicable taxes, and any separately disclosed third-party costs.

Unless expressly included in the agreed scope, the quoted price does not include third-party expenses such as domain registration, hosting, premium software, paid plugins, stock assets, external subscriptions, or other products and services supplied by independent providers.

If additional work is requested after the original scope has been agreed, we may quote a separate fee. Additional charges should be approved by the customer before the additional work begins.

We reserve the right to update prices for future purchases. A change to a published price does not automatically change the price of an existing project that has already been accepted, except where a change is permitted under the applicable agreement or law.

7.Payment Terms

Payment terms will be communicated before or at the time the customer commits to a project.

Depending on the service and project scope, the payment arrangement may involve an upfront payment, a deposit, milestone payments, an invoice before delivery, or another written payment schedule.

The applicable proposal, invoice, or project agreement will identify the amount due, the payment schedule, and any applicable due dates.

Customers agree to pay amounts properly due under the accepted agreement. If a payment schedule has been agreed, customers are responsible for making each payment by the relevant due date.

Where a deposit or milestone payment is required, work may not begin until the applicable payment and any essential project information have been received.

Where payment is due before delivery, final deliverables, website handover, or transfer of agreed materials may be withheld until the required payment has been received, to the extent permitted by the agreement and applicable law.

If a payment is overdue, we may contact the customer to resolve the outstanding balance. Where permitted by the agreement and applicable law, we may pause work or postpone delivery while an overdue amount remains unpaid. Any resulting schedule changes will be communicated to the customer.

We will not impose an undisclosed fee or materially change the agreed payment arrangement without an appropriate basis under the agreement and applicable law.

8.Payment Processing and Transaction Verification

Payments may be processed through third-party payment providers, financial institutions, or other payment methods made available for a particular transaction.

Customers may be required to provide information necessary to complete a transaction, verify payment authorization, or comply with applicable financial or legal requirements.

The availability of a payment method may depend on the customer's location, the provider's terms, transaction eligibility, and technical availability.

Third-party payment providers may apply their own terms, privacy policies, verification procedures, and transaction rules. Customers are responsible for reviewing the terms applicable to the payment method they choose.

We do not ask customers to send full payment card numbers or card security codes through ordinary email. If a payment provider requests verification information, customers should submit it through the provider's appropriate process.

A payment confirmation, where issued, confirms the transaction status reported to us or by the payment provider. It does not change the agreed service scope, refund terms, or other contractual obligations.

9.Project Timelines and Delivery

Any project timeline communicated by My Geeks LLC will depend on the nature of the work, the agreed scope, the availability of required information and materials, the customer's responsiveness, and any relevant third-party dependencies.

Where possible, the proposal or project agreement will identify estimated milestones or a target delivery date.

Unless a particular date is expressly agreed as a binding deadline, stated timelines are estimates rather than guarantees.

Customers are expected to provide requested materials, feedback, approvals, access, and other necessary information within a reasonable period. Delays in receiving these items may affect the project schedule.

The delivery schedule may also be affected by approved scope changes, additional requirements, technical problems, third-party outages, or circumstances beyond our reasonable control.

If a material delay arises, we will make reasonable efforts to communicate the issue and, where appropriate, discuss an updated schedule.

Delivery will occur through the method agreed for the project, which may include a website preview, a staging environment, transfer of agreed files, implementation on the customer's website, or another documented handover process.

10.Customer Responsibilities

Successful website projects require cooperation between My Geeks LLC and the customer. The customer agrees to:

  1. Provide accurate project requirements and relevant business information.
  2. Supply content, images, logos, brand assets, and other materials required by the agreed scope.
  3. Confirm that supplied materials may lawfully be used for the project.
  4. Provide authorized access to the relevant website, hosting account, domain, or other systems where access is necessary.
  5. Ensure that any credentials or access permissions provided are authorized and appropriate.
  6. Review project work and provide feedback or approvals within a reasonable period.
  7. Identify errors, missing items, or departures from the agreed scope during the applicable review process.
  8. Pay invoices according to the agreed payment terms.
  9. Maintain appropriate backups of existing websites and data unless backup services are expressly included in the project scope.
  10. Make decisions and provide approvals necessary for the project to proceed.

The customer remains responsible for the accuracy, legality, and completeness of the business information, claims, product details, pricing, and other content supplied for publication.

We may rely on information supplied by the customer when carrying out the agreed work. We are not responsible for inaccuracies in customer-provided information that we have not expressly agreed to verify.

If the customer does not provide necessary materials, approvals, access, or payment, we may need to pause work or revise the timeline, subject to the applicable agreement and law.

11.Revisions and Changes to Requirements

A project may include revisions where specified in the selected package or accepted proposal.

Included revisions are intended to adjust work within the agreed project scope. Examples may include reasonable visual refinements, text-placement adjustments, or other changes expressly covered by the selected package.

A request may be treated as additional work if it introduces new pages, substantial redesigns, new functionality, additional integrations, a materially different design direction, or requirements beyond the original scope.

Where additional work is requested, we may explain the effect on price and timing and provide a separate quotation or revised scope.

We will seek approval for material additional charges before undertaking the additional work.

Customers should consolidate feedback where reasonably possible and identify any issues against the agreed requirements. Repeated changes after approval or requests that reverse previously approved decisions may require additional time or cost if they fall outside the included revision allowance.

The number of included revision rounds, if any, will be determined by the applicable package or written project agreement. If no revision allowance is specified, the parties should confirm the intended review process before work begins.

12.Website Testing, Review, and Approval

Where testing or customer review is included in the project, we will provide an appropriate opportunity to review the agreed deliverables.

Customers should check the delivered work for compliance with the agreed scope, including the relevant pages, content, visual presentation, and specified functionality.

Any reported issue should describe the problem and, where practical, identify the affected page or feature. We will review reported issues to determine whether they reflect a departure from the agreed scope or a request for additional work.

Approval may be provided through written confirmation or another agreed method. If the project agreement establishes a review period or acceptance procedure, that procedure will apply, subject to applicable law.

Customer approval does not waive rights that cannot lawfully be waived. Nor does approval automatically create a continuing maintenance obligation beyond the services expressly included in the agreement.

13.Website Hosting, Domains, and Third-Party Services

Unless expressly included in the accepted scope, My Geeks LLC does not automatically provide website hosting, domain registration, domain renewal, email hosting, premium software licenses, third-party subscriptions, or ongoing administration of services supplied by other companies.

A project may depend on third-party providers, including hosting companies, domain registrars, content management systems, software developers, plugin vendors, and other technology services.

Those providers may change their products, pricing, policies, technical requirements, or availability. We do not control independent third-party systems and cannot guarantee that their services will remain available, compatible, or unchanged.

Where a project requires a third-party product or service, the customer may need to maintain a separate account, license, subscription, or agreement with the relevant provider.

Any third-party charges that are not included in the agreed project price remain the customer's responsibility, provided they are appropriately disclosed and authorized.

We will not represent that a third-party service is owned, operated, or controlled by My Geeks LLC unless that representation is accurate.

14.Website Maintenance and Ongoing Support

Website maintenance, monitoring, updates, technical support, and ongoing improvements are provided only to the extent expressly included in a selected package or separate agreement.

A one-time design or development project does not automatically include indefinite maintenance, unlimited revisions, ongoing technical support, continuous monitoring, or future feature development.

If maintenance or support is purchased, the applicable agreement should identify the services covered, the duration, the expected response process, any exclusions, and any recurring charges.

Unless otherwise agreed, new features, major redesigns, additional integrations, recovery from unrelated technical incidents, and work arising from later changes made by the customer or third parties may require a separate quotation.

Customers remain responsible for maintaining third-party accounts, subscriptions, and licenses that are under their control.

15.Intellectual Property and Ownership

Intellectual property rights in a project depend on the nature of the materials, applicable law, and the written agreement between My Geeks LLC and the customer.

15.1Customer Materials

The customer retains responsibility for materials supplied by the customer, including logos, photographs, written content, trademarks, and other assets.

The customer grants My Geeks LLC permission to use those materials only as reasonably necessary to assess, perform, test, and deliver the agreed services.

The customer represents that they have the necessary rights, licenses, permissions, or authorizations for materials supplied to us.

15.2Third-Party Materials

Third-party themes, plugins, fonts, software, stock images, libraries, and other components may be subject to separate licenses and terms.

Ownership of a website deliverable does not automatically transfer ownership of third-party materials or grant rights beyond the applicable license.

Customers are responsible for any ongoing third-party subscriptions or licenses required for their continued use, except where a different arrangement is expressly agreed in writing.

15.3Project Deliverables

The ownership and permitted use of final project deliverables will be determined by the accepted proposal, statement of work, or other written agreement.

Where the agreement provides for transfer or assignment of rights in specified original deliverables, that transfer will take effect according to the terms of the agreement, including any applicable payment conditions and mandatory law.

Unless otherwise agreed, customers should not assume that a payment automatically transfers ownership of every underlying tool, reusable component, development method, pre-existing asset, or third-party item used during a project.

15.4Pre-Existing Tools and Reusable Components

My Geeks LLC may use general skills, methods, workflows, templates, development techniques, and reusable components that are not unique to a particular customer.

Unless expressly agreed otherwise, the provision of a project does not transfer ownership of our pre-existing tools, general know-how, or independently developed reusable materials.

Any rights granted to the customer in such materials will be limited to the rights expressly provided by the applicable agreement and any relevant third-party license.

15.5Portfolio Use

We will not assume that confidential customer materials or unpublished project information may be publicly disclosed merely because we performed the work.

If we wish to identify a customer, display a completed project, use a customer's logo, or publish screenshots as a portfolio example, we will obtain permission where required by the applicable agreement or law.

16.Customer Content and Legal Compliance

Customers are responsible for ensuring that the content and business activities associated with their websites comply with applicable laws and third-party rights.

Customers must not request or provide content for a project that unlawfully infringes intellectual property rights, facilitates fraud, violates privacy rights, or otherwise violates applicable law.

My Geeks LLC may decline to implement content or functionality that we reasonably believe is unlawful, unauthorized, deceptive, or materially unsafe.

Our work may involve placing or formatting customer-provided content. Unless the project expressly includes professional legal, regulatory, or compliance review, we do not provide a guarantee that the customer's website, privacy notices, terms, product claims, marketing statements, or business operations comply with every law or platform policy applicable to the customer.

Customers should obtain appropriate professional advice where they need legal, tax, regulatory, or industry-specific review.

17.No Guarantee of Business Results

Website design and development services are intended to deliver the agreed website-related work. They do not guarantee a particular commercial outcome.

My Geeks LLC does not guarantee specific levels of revenue, sales, leads, website traffic, search engine rankings, advertising performance, conversion rates, customer acquisition, or business growth.

Business results may depend on many factors outside our control, including the customer's products and services, pricing, market conditions, competition, content, advertising strategy, website visitors, third-party platforms, and ongoing business decisions.

Where a project includes specific technical or functional requirements, our obligations will be determined by the agreed scope rather than an implied promise of commercial success.

18.Search Engines, Advertising Platforms, and External Policies

A website may be used with search engines, advertising platforms, social media services, payment providers, analytics tools, or other external services.

These services operate under their own rules and may change their requirements, algorithms, review procedures, eligibility standards, or available features.

Unless expressly included in the agreed scope, My Geeks LLC does not guarantee approval by an advertising platform, search engine, payment processor, marketplace, or other independent service provider.

Where a project includes technical implementation or configuration for an external platform, the work will be limited to the tasks agreed in the project scope. Final approval and ongoing eligibility remain subject to the relevant provider's requirements and decisions.

19.Confidentiality

During a project, either party may disclose non-public business, technical, financial, or project information that should reasonably be treated as confidential.

Each party should use the other party's confidential information only for purposes connected with the project or the relevant business relationship and should take reasonable steps to prevent unauthorized disclosure.

Confidentiality obligations do not ordinarily apply to information that the receiving party can demonstrate:

  • Is publicly available without a breach of an obligation.
  • Was lawfully known to the receiving party before disclosure.
  • Was lawfully received from another source without a confidentiality restriction.
  • Was independently developed without using the other party's confidential information.
  • Must be disclosed under applicable law or valid legal process, subject to any lawful restrictions on disclosure.

Where disclosure is legally required, the receiving party may disclose only what is required by law, to the extent reasonably practicable and permitted.

Additional confidentiality or data-handling requirements may be established in a separate written agreement.

20.Privacy and Personal Information

Our handling of personal information is described in our Privacy Policy.

Customers should not provide personal information, account credentials, or confidential materials belonging to another person unless they have appropriate authority to do so.

Where a project requires access to personal information or systems containing personal information, the parties should ensure that the access and processing are authorized and comply with applicable law.

Nothing in these Terms is intended to remove privacy rights that customers or other individuals have under applicable law.

21.Cancellations, Refunds, and Termination

Cancellation requests, refund eligibility, and the consequences of ending a project are governed by the applicable Refund & Cancellation Policy, accepted project agreement, and applicable law.

Customers should review those terms before purchasing a service.

Where a project is cancelled after work has begun, the amount payable or refundable may depend on the agreed payment schedule, work already performed, authorized expenses, completed milestones, and applicable legal requirements.

No provision in these Terms is intended to exclude a refund or other remedy that is required by law.

Either party may terminate a project where permitted by the applicable agreement or law. The parties should settle outstanding obligations and address the status of completed work, payments, customer materials, access credentials, and any agreed handover requirements.

We may suspend or terminate access to the Website or suspend work where reasonably necessary to address unlawful activity, a serious security risk, material non-payment, or a material breach of the applicable agreement, subject to applicable law and any required notice or opportunity to remedy the breach.

22.Disclaimers and Website Availability

We make reasonable efforts to keep the Website accessible and its information useful. However, we do not guarantee that the Website will always be available, uninterrupted, error-free, or compatible with every device or browser.

We may update, maintain, modify, or discontinue portions of the Website as reasonably necessary for business, technical, security, or operational reasons.

To the extent permitted by applicable law, the Website and general informational content are provided on an “as available” basis without a guarantee that every item will meet every visitor's specific requirements.

Nothing in these Terms excludes any warranty, statutory protection, or consumer right that cannot lawfully be excluded or limited.

23.Limitation of Liability

To the fullest extent permitted by applicable law, My Geeks LLC will not be liable for indirect, incidental, special, consequential, or punitive losses arising from or connected with the Website or services where such losses are excluded under applicable law.

Depending on the circumstances and applicable law, examples may include loss of anticipated profits, lost business opportunities, loss of expected revenue, or losses arising from business interruption that are not a direct and legally recoverable consequence of a breach.

To the extent permitted by applicable law, our total liability arising from a particular service engagement will not exceed the amount paid or payable to My Geeks LLC for the specific services giving rise to the claim during that engagement.

This limitation does not apply to liability that cannot legally be excluded or limited, including where applicable law prohibits limiting liability for particular acts or omissions.

Nothing in this section excludes or restricts liability for fraud, intentional misconduct, or any other matter for which exclusion or limitation is prohibited by applicable law.

Any limitation of liability in a separate written project agreement will apply only to the extent permitted by law and consistent with these Terms.

24.Indemnification

To the extent permitted by applicable law, customers are responsible for claims arising from materials they supply or instructions they authorize where the claim results from the customer's unlawful conduct, infringement of third-party rights, or material breach of the applicable agreement.

This may include claims involving unauthorized use of images, trademarks, written content, software, or other materials supplied by the customer.

This section does not require a customer to indemnify My Geeks LLC for losses caused by our own conduct where such an obligation would be unlawful or unenforceable. The scope of any indemnification obligation remains subject to applicable law and any specific written agreement.

25.Events Beyond Reasonable Control

Neither party will be responsible for a delay or failure to perform to the extent it is caused by circumstances beyond that party's reasonable control, subject to applicable law.

Such circumstances may include major internet or infrastructure outages, natural disasters, government actions, widespread service-provider failures, significant security incidents, or other events that could not reasonably have been prevented or overcome.

The affected party should make reasonable efforts to reduce the impact and resume performance when practicable.

This section does not automatically cancel payment obligations for services already performed or remove rights that cannot lawfully be excluded.

26.Changes to These Terms

We may revise these Terms to reflect changes to our services, business practices, website functionality, or legal obligations.

The latest version will be published on the Website with an updated Effective Date.

Where required by applicable law or an existing agreement, we will provide additional notice or obtain consent before a change takes effect.

Unless otherwise required by law or expressly agreed, updates to these general Terms will not automatically rewrite the terms of a project agreement already accepted by both parties.

27.Governing Law and Disputes

These Terms are intended to be governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except to the extent that mandatory laws in another jurisdiction apply and cannot lawfully be excluded.

The parties should first make reasonable efforts to resolve a dispute through good-faith communication.

If a dispute cannot be resolved informally, it may be brought before a court of competent jurisdiction, subject to applicable law, mandatory consumer protections, and any valid dispute-resolution agreement entered into by the parties.

Nothing in this section removes a right to bring a claim in a forum where applicable law requires that right to be preserved.

28.Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or interpreted to the minimum extent necessary to make it enforceable where legally permitted.

If it cannot be made enforceable, it will be severed without invalidating the remaining provisions, to the extent the remaining provisions can continue to operate consistently with the parties' agreement and applicable law.

29.No Waiver

A failure or delay by either party to enforce a provision of these Terms does not automatically waive the right to enforce that provision later.

Any waiver must be interpreted in accordance with applicable law and the circumstances in which it is given.

30.Entire Agreement

These Terms, together with the applicable Privacy Policy, Refund & Cancellation Policy, accepted proposal, invoice terms, statement of work, and any other agreement expressly incorporated into the relevant project, govern the relationship between My Geeks LLC and the customer for the matters they address.

Where the parties enter into a separate written agreement covering a particular project, the documents should be read together. A specific term in the project agreement will prevail over a conflicting general term to the extent expressly agreed and permitted by law.

No statement in these Terms is intended to create a service, warranty, refund entitlement, or continuing obligation that is not otherwise established by the applicable agreement or mandatory law.
